2. User Content & Intellectual Property

2.1 Ownership & Responsibility

By uploading or submitting any file, artwork, or design to Murdock LLC, you represent and warrant that you:

• Are the sole owner of the design, or
   

• Have obtained all necessary licenses, rights, or permissions to allow Murdock LLC to manufacture, reproduce, and sell products derived from your design.
   

You understand that you are solely responsible for any content you upload and any claims that arise from it.

2.2 License to Murdock LLC

You grant Murdock LLC a worldwide, royalty-free, non-exclusive license to manufacture, reproduce, display, and sell physical products derived from your uploaded designs for the purpose of fulfilling your orders or offering your products through our platform.

2.3 Indemnification

You agree to indemnify, defend, and hold harmless Murdock LLC, its officers, employees, contractors, and affiliates from any and all claims, damages, liabilities, or expenses arising out of or related to your uploaded designs, including but not limited to copyright, trademark, or patent infringement.

2.4 Platform Neutrality

Murdock LLC acts solely as a neutral intermediary that provides manufacturing and fulfillment services.

We do not verify ownership or license rights for user-uploaded designs and disclaim any liability for intellectual-property violations caused by users.

 

3. Upload Agreement

Before uploading a design, all users must agree to the following:

☑ I confirm that I am the sole owner of this design, or I have the commercial rights and permissions to allow Murdock LLC to reproduce, manufacture, and sell products derived from it.

I understand that I am solely responsible for any legal claims or damages related to this design and agree to indemnify and hold harmless Murdock LLC from any such claims.

Murdock LLC records the timestamp, user ID, and IP address of each upload confirmation.

 

4. DMCA & Copyright Takedown Policy

Murdock LLC respects the intellectual-property rights of others and complies with the Digital Millennium Copyright Act (17 U.S.C. § 512).

4.1 How to Submit a Takedown Notice

If you believe your copyright or trademark has been infringed on our platform, send a written notice to:

Your notice must include:

1. Identification of the copyrighted work or trademark you claim is infringed.
    

2. The URL or description of where the infringing material is located.

5. A statement made under penalty of perjury that the information is accurate and that you are the rights owner or authorized to act on the owner’s behalf.

4.2 Counter-Notification

If your content was removed and you believe it was a mistake, you may file a counter-notification containing:

• Identification of the removed material and its location prior to removal,
   

• A statement under penalty of perjury that you believe the material was removed in error,
   

• Your consent to the jurisdiction of the federal court in your district, and
   

• Your signature (electronic or physical).
   

Upon receipt of a valid counter-notice, Murdock LLC may restore the material unless the complainant files a legal action within 10 business days.

 

5. Repeat Infringer Policy

To comply with DMCA safe-harbor requirements, Murdock LLC enforces the following policy:

 

1st verified infringement

Written warning and content removal

2nd verified infringement (within 12 months)

Temporary account suspension

3rd verified infringement (within 12 months)

Permanent account termination

6. Limitation of Liability

Murdock LLC is not liable for any loss, damage, or legal claim arising from user-uploaded content.

Our total liability for any claim relating to the use of our services will not exceed the amount paid by you to Murdock LLC for the related order.

 

7. Updates to This Policy

Murdock LLC may modify these Terms and this Intellectual Property Policy at any time.

Continued use of the platform constitutes acceptance of the updated terms.

1. Overview

2. Scope of Services

Murdock LLC offers a range of services including:

• Graphic Design & Branding: logo creation, marketing materials, digital graphics, and custom artwork.
   

• Business Development & Marketing: strategy, consultation, copywriting, advertising campaigns, and brand positioning.
   

• Drone Services: licensed aerial photography, videography, mapping, and creative footage.
   

• AI-Assisted Creative Tools: the use of artificial intelligence for design, analysis, or marketing automation.
   

All services are delivered according to the scope and proposal agreed upon before project start.

 

3. Payment & Project Terms

1. Invoices & Deposits
    

   • A deposit or full payment may be required before work begins.
      

   • Payments are due within the timeframe stated on the invoice.
      

2. Revisions & Deliverables
    

   • Murdock LLC provides a set number of revisions as outlined in your project proposal.
      

   • Additional changes beyond the included revisions may incur extra charges.
      

3. Refunds
    

   • Due to the nature of digital and creative work, refunds are limited and reviewed case-by-case.
      

   • Work already completed or delivered cannot be refunded.
      

 

4. Intellectual Property & Ownership

4.1 Ownership of Work

• Upon full payment, Murdock LLC grants the Client a commercial license to use the final deliverables for the agreed-upon purpose.
   

• All drafts, concepts, AI-generated variations, or rejected designs remain the property of Murdock LLC.
   

• Murdock LLC retains the right to display completed work in portfolios, case studies, or marketing materials unless otherwise agreed in writing.
   

4.2 Client Materials

The Client represents that all text, images, logos, or other materials provided to Murdock LLC:

• Are owned by the Client, or
   

• The Client has full permission or licensing to use them.
   

The Client agrees to indemnify and hold harmless Murdock LLC against any claims of copyright, trademark, or privacy violations resulting from materials provided.

 

5. Use of Artificial Intelligence (AI)

5.1 How Murdock LLC Uses AI

Murdock LLC may use artificial intelligence tools to:

• Generate design concepts, color schemes, or text variations.
   

• Analyze audience engagement and marketing data.
   

• Enhance photo and video quality in drone and creative projects.
   

• Automate workflows for efficiency and consistency.
   

These AI tools act as assistive technology — all final creative direction, editing, and approvals are performed by human designers, marketers, and consultants.

5.2 Ownership of AI-Generated Work

• If AI-assisted content is used, the final output curated, edited, and approved by Murdock LLC is treated as an original creative work under this agreement.
   

• Murdock LLC ensures that all AI tools used are compliant with intellectual property and data-use laws.
   

• The Client receives a commercial-use license to the final deliverables (same as traditional design work).
   

 

6. Drone Services & Compliance

1. Licensing & Flight Restrictions
    

   • All drone operations comply with FAA Part 107 regulations (or equivalent local authority).
      

   • Flights may be rescheduled due to weather, location restrictions, or safety concerns.
      

2. Property Rights & Permissions
    

   • Clients must secure all property permissions and model releases for any private land or individuals filmed.
      

   • Murdock LLC is not liable for unauthorized footage resulting from client-provided locations.
      

3. Media Delivery & Usage
    

   • Final photos or videos are delivered digitally via secure transfer.
      

   • The Client receives commercial usage rights for the agreed purpose (e.g., marketing, social media, print).
      

   • Murdock LLC retains rights for portfolio or marketing display unless otherwise agreed.
      

 

7. Confidentiality & Data Protection

• Murdock LLC respects client confidentiality and does not share proprietary business information.
   

• Sensitive materials (such as logos, marketing plans, or footage) are stored securely and only accessed for project fulfillment.
   

• AI tools used will never train on client data or resell project assets.
   

 

8. Limitation of Liability

Murdock LLC is not responsible for:

• Indirect, incidental, or consequential damages.
   

• Copyright or trademark issues arising from client-provided materials.
   

• Business losses due to misuse or misrepresentation of deliverables.
   

Total liability shall not exceed the total fees paid for the related project.

 

9. Cancellations & Termination

Either party may terminate a project in writing.

• If terminated before completion, the Client is responsible for payment for work performed up to the termination date.
   

• Murdock LLC retains ownership of unfinished drafts and materials until full payment is made.
   

 

10. Updates to This Policy

Murdock LLC may update this Terms of Service and Intellectual Property Policy as needed to reflect legal or operational changes.

Continued use of our services constitutes acceptance of the updated terms.
